Terms of Service
Effective from 29 October 2026Version 2026-10-29
The conditions for using Vexels: your account, credits and subscriptions, the desktop app, what you may and may not do, and who is responsible for what.
1. Who provides the service
Vexels is a service operated by BLACKBOX CHANNELS LLC ("Vexels", "we", "us"). For anything about these terms, write to us at soporte@vexels.app.
These terms are a contract between you and us. By creating an account, ticking the acceptance box or using the service, you accept them. If you do not agree, do not use Vexels.
2. What Vexels is
Vexels is a set of tools that use artificial intelligence to make videos from a script you write:
- Vexels Atlas 1: the legacy cloud service, retained for accounts that already have it. Videos in this service are processed on our servers and use credits under the subscribed plan.
- Vexels Echo 1: Vexels Studio combines the web app and a desktop app to process videos on your computer, using your own accounts and API keys for AI providers. The public launch offer is a monthly subscription; those providers are paid separately.
3. Who may use it
- You must be at least 18 years old (or the age of majority in your country, if higher) and able to enter into contracts.
- If you use Vexels on behalf of a company, you accept these terms on its behalf and confirm that you are authorised to do so.
- We may limit new accounts or new subscriptions when we do not have the capacity to deliver on time: if so, we tell you before you pay and you can join the waiting list.
4. Your account
- You sign in with a link we email to you; it expires after 15 minutes and works only once. There is no password.
- Your account is personal. Do not share your links or your session. You are responsible for what is done with your account and for keeping access to your email.
- If you think someone has accessed your account, write to us immediately.
- You can download your data and delete your account at any time from Account.
5. Plans, credits and subscriptions
- Prices are in US dollars (USD) and shown excluding taxes; any taxes due in your country are added at checkout.
- Each Vexels Atlas 1 plan has a fixed price and gives you a number of credits per month; 10 credits equal one minute of finished video. Credits are reserved when you order a video; when it is finished, its actual length is charged and the difference is returned. If a video fails on our side, the credits are returned in full.
- Auto top-up and pay-as-you-go: they are off by default and only exist if your plan allows them and you turn them on. With auto top-up, each time your balance drops below the threshold you choose, a pack of credits is bought at the price shown to you and charged to your saved payment method, never going over the monthly cap you set. With pay-as-you-go, if you run out of credits your videos keep being made and what you use beyond your plan is charged at $0.07 per credit when each month closes (or earlier, if your subscription ends or you delete your account), never going over the monthly limit you set; a video that fails is not charged. Videos ordered by members of your team also count. Before turning them on you expressly accept the amounts and the cap, and we keep that authorization (its text, the date, your account and the IP address); you can turn them off at any time in Billing. If a charge fails or is disputed, they are turned off, and pay-as-you-go stays blocked until the pending month is paid. Without them, if you run out of credits you wait for the renewal or buy a pack of extra credits, if your plan allows it. Its price and conditions are shown before you buy.
- Credits not used in a month do not roll over, unless your plan says otherwise. Credits are not money: they cannot be exchanged for cash, sold or transferred to another account.
- Subscriptions (monthly or yearly) renew automatically at the end of each period and are charged to the card you provided until you cancel. On yearly plans, credits are granted month by month.
- You can cancel at any time; the cancellation, refund and withdrawal terms are on the "Refunds and cancellation" page, which forms part of these terms.
- If we change the price of your plan, we will tell you at least 30 days before it applies to your next renewal; if you do not agree, you can cancel before then. Locked prices from an offer (for example, the founders' offer) are honoured for the promised period.
- Payments are processed by Stripe, an independent payment provider: you enter your card details on its page, not ours, and we neither see nor store them.
6. Vexels Echo 1: your own keys
- This app runs on your computer using your accounts with third-party providers (for example, language-model, voice or avatar providers) and the API keys you enter. You contract those services directly with each provider, under its terms, and you pay for them directly.
- If you enter API keys on the website, we receive and store them encrypted on our servers, associated with your account. Your linked app may request them to run your jobs; the server decrypts them when needed to deliver or test them. The app may also use your operating system's secure storage for its local credentials.
- We are not responsible for what those providers charge you, for their outages or limits, or for them changing or withdrawing their service. We recommend setting spending limits on your accounts.
- The videos you make with this app are generated and stored on your computer; they do not go through our servers unless you use a feature that expressly says so.
- The app checks your account and subscription status with our server (that is why it links your computer to your account). We grant you a personal, non-exclusive, non-transferable licence to use it while your subscription is active; you may not redistribute or resell it, or bypass the licence check.
- In Vexels Echo 1 you may use invented presenters, or your own face and voice with the consent statement the app asks for. You may not use anyone else's face or voice (see "Acceptable use").
7. Acceptable use
You are responsible for what you write, the videos you make and where and how you publish them. You may not use Vexels for:
- Anything illegal, or infringing other people's rights (intellectual property, image, privacy, data protection).
- Defaming, harassing or threatening people, or inciting hatred or violence against people or groups.
- Any sexual content involving minors, or sexually explicit content of any kind.
- Impersonating anyone. In particular, you may not use the face, voice or name of public figures (politicians, celebrities, journalists, athletes…) or of any real person without their written permission, or make videos showing them saying or doing something they did not say or do.
- Disinformation: presenting invented events as real, fabricating news, quotes or evidence, manipulating elections, or spreading false health, financial or safety claims that may cause harm.
- Spam on YouTube or other platforms: mass-producing repetitive or near-identical videos, running coordinated networks of channels, using misleading titles, thumbnails or tags, or manipulating views or engagement. Vexels is designed for videos each with its own script, not for flooding a platform.
- Breaking the rules of the platform where you publish (for example, YouTube's rules on altered or synthetic content, spam and repetitive content).
- Removing the marker that identifies the video as AI-generated content (see "Synthetic content").
- Bypassing plan limits, image verification or any technical measure; reverse-engineering the service except where the law allows it; scraping; or reselling access without our written permission.
- Uploading malware or trying to damage, overload or gain unauthorised access to our systems.
8. Your content and your videos
- Your script is yours, and so is the resulting video, except for the third-party works it includes (see section 9). We do not claim ownership of anything you make.
- You give us permission (a worldwide, royalty-free, non-exclusive licence) to store, process and transform your script and your videos for the sole purpose of providing the service, for as long as we keep them (finished videos, 30 days from delivery; details in the Privacy Policy).
- You confirm that you have the right to use what you give us and that it does not infringe anyone's rights.
- AI-generated parts may not be protected by copyright in some countries, and the same free stock images may appear in other people's videos: we do not guarantee exclusivity.
- We do not use your scripts or your videos to train artificial-intelligence models.
- We may review a specific video if we receive a complaint or there are signs that it breaches these terms.
9. Third-party material and attribution
- Most of the images and footage in each scene come from licensed sources: public domain, Creative Commons licences and stock libraries that allow this use. Each work keeps its licence and its author.
- Many licences (such as CC BY and CC BY-SA) require crediting the author, the work and the licence. Each video comes with its credits text: publishing it with the video (for example, in the YouTube description) is a condition of use.
- Some CC BY-SA works also require that, if your video is considered an adaptation of them, it be shared under the same licence. When a video includes works with special obligations, the video page tells you before you download it.
- Third-party footage: in addition, your video may include short (less than 7 seconds), edited excerpts from publicly available third-party videos, mainly from YouTube, selected automatically by our system to illustrate what your script says. Those excerpts do not come with a licence: we do not guarantee that their use is authorised by the owner of the original video, and the owner may make a claim (for example, a rights claim on the platform where you publish). By ordering a video with third-party footage you accept that risk.
- You can switch off third-party footage for each order: the video is then made only with licensed material and with what we generate ourselves.
- If you receive a claim about an excerpt, or the owner makes one to us, we follow the procedure on the "Takedown" page (section 10): we reply within 72 hours, remove the excerpt from the video and block it so it is not used again. You undertake to replace or remove the published video that contains it when we ask you to.
- The music included by Vexels (freely licensed or generated for us) may be used within that video; do not extract it for other uses.
- We do not add third-party watermarks.
- What you decide to publish, you publish. If a third party makes a claim against us about an excerpt included in a video you have published, section 14 (indemnity) applies, and our liability to you for that footage is subject to section 15 (limitation of liability).
10. Takedown and infringement notices (DMCA)
If you believe something in Vexels infringes your copyright or your image rights, write to us at soporte@vexels.app with the subject "Takedown". The full procedure, including what the notice must contain (also a notice under the US Digital Millennium Copyright Act, DMCA) and the counter-notice, is on the "Takedown" page.
We close the accounts of repeat infringers.
11. The service may change
- Delivery time: our goal is to deliver each video within 24 hours of ordering it (usually within a few hours). It is a goal, not an availability guarantee: if a video is late, you can cancel it while it is not finished and we refund its credits in full.
- Vexels is a young service: it works, but it can fail, and we tell you in writing what fails.
- We may improve, change or withdraw features. If we withdraw something essential from a paid plan, we will give you reasonable notice and, if it no longer works for you, you can cancel and we will refund the unused proportional part.
- We may stop the service for maintenance or security, trying to give notice first.
12. Suspension and termination
- You can stop using Vexels and delete your account whenever you want.
- We may suspend or close your account if you breach these terms, if the law requires it, or if your use puts the service or third parties at risk. Except in serious or urgent cases, we will warn you first and give you a chance to explain.
- If we close your account because of your breach, credits and the current subscription are not refunded, unless the law says otherwise. If we close it through no fault of yours, we refund the unused proportional part.
13. What we do not promise
- We do not guarantee that your channel will be monetised or approved, or that a video complies with each platform's policies: review it before publishing.
- AI makes mistakes. We verify the images, but a video may contain factual, pronunciation or image errors. You decide what you publish and you are responsible for checking it.
- We do not guarantee that excerpts from third-party videos (section 9) are free from claims by their owners, or that a platform will accept them without objection: if you do not want that risk, switch off third-party footage in the order.
- To the extent permitted by law, the service is provided "as is" and "as available", without warranties other than those stated here. Nothing in this limits the guarantees that the consumer law of your country gives you and that cannot be excluded.
14. Indemnity
If someone makes a claim against us because of content you create or publish with Vexels, your breach of these terms or your infringement of third-party rights, you will cover that claim and the reasonable damages and costs (including legal fees) it causes us. We will tell you about the claim and you may take part in the defence. If you are a consumer, this applies only to the extent permitted by the law of your country.
This includes claims by rights holders about excerpts from third-party videos (section 9) included in a video you have published, unless the claim arises because we failed to do what we promise in these terms (for example, if we do not remove an excerpt within the stated time).
15. Limitation of liability
- To the extent permitted by law, we are not liable for indirect damages or for loss of profit, revenue (for example, from monetisation), data or opportunity.
- Our total liability for any claim related to the service is limited to what you paid us in the 12 months before the event giving rise to it or, if you have paid nothing, to 100 US dollars.
- These limits do not apply to wilful misconduct, gross negligence, death or personal injury, or anything the law does not allow to be limited or excluded.
16. Governing law and disputes
Before making a claim, write to us: we will try to resolve it within 30 days.
These terms are governed by the law of the place where BLACKBOX CHANNELS LLC is incorporated. If you are a consumer, you remain protected by the mandatory rules of your country of residence, which no clause in this contract can exclude, and you can go to the courts where you live.
17. Changes to these terms
- Each text shows at the top the date from which it applies. When we make an important change, we will tell you by email or within Vexels at least 15 days before it applies and, when the change affects you, we will ask you to accept it again.
- If you do not agree, you can cancel before it takes effect; if for that reason you cancel a yearly subscription, we refund the unused proportional part.
- Changes that only fix mistakes or are required by law may apply sooner.
18. Other things
- These terms, together with the Privacy, Cookies, Refunds, Synthetic content and Takedown policies, are the entire agreement between you and us about Vexels.
- If a court strikes down a clause, the rest remains valid. Not enforcing a right at a given moment does not mean we waive it.
- We may assign this contract to another company that continues the service; we will tell you. You may not assign it without our permission.
- There is a Spanish version. If the two differ, the Spanish one prevails, unless the law of your country provides otherwise.
